This is an English translation of the Romanian original. The Romanian version is the legally binding one; if the two differ, the Romanian version prevails.
These Terms of Service (the “Terms”) govern access to and use of the Manifolio service. Together with the Data Processing Agreement, the Acceptable Use Policy, the chosen plan and any order or written agreement that refers to them, they form the contract between us and the Customer (the “Agreement”).
1. The parties
Manifolio is provided by DIMAX.RO S.R.L., a Romanian legal entity with its registered office at Bld. Racoțeanu nr. 216, Camera 1, Et. 1, Oraș Filiași, Județ Dolj, postal code 205300, Romania, registered with the Trade Register under no. J16/1920/2021, unique registration code 44650706, not registered for VAT (“Manifolio”, “we”, “us”). Manifolio is a product of DIMAX.RO S.R.L.
The other party is the legal entity or professional on whose behalf an organisation is created or used in Manifolio (the “Customer”). The person accepting these Terms on the Customer’s behalf confirms that they are authorised to represent it.
2. Definitions
- Service: the Manifolio platform and the components we make available, which may include the admin at app.manifolio.com, the application programming interfaces (APIs) at api.manifolio.com, the analytics script, forms, the visual editor, mobile apps, libraries and tools (including
@manifolio/sdk) and the documentation, as they evolve over time. - Organisation: the Customer’s workspace in Manifolio, with its projects, members and settings.
- User: anyone who signs in to an Organisation with an account, invited by the Customer or by our team.
- Customer Content: everything the Customer or its Users enter or upload into the Service, such as structures, entries, text, media files and settings.
- Site Data: data collected through the Service from the Customer’s sites and apps, such as visit statistics, events, performance measurements and form submissions.
- Plan: the version of the Service chosen, with the limits and price shown on the pricing page or agreed in writing.
- Early-access features: features marked “beta”, “early access”, “on request”, “experimental” or “coming soon”, or offered free of charge for testing.
3. Forming the contract electronically
The Agreement is concluded electronically, under Romanian Law no. 365/2002 on electronic commerce, when the Customer accepts these Terms on creating the Organisation or accepting an invitation or, where applicable, on signing an order that refers to them.
- Steps: opening the invitation link received by email (or creating the Organisation together with our team), choosing sign-in details, ticking the box by which the User declares that they have read and accept the Terms and the Privacy Policy (and, for the Organisation owner, the Data Processing Agreement), ticking a second, separate box by which they expressly accept the clauses listed in section 24, and confirming. The boxes are not pre-ticked and the account cannot be created without them. The same steps are repeated at the first sign-in after a new version of the Terms.
- Evidence: we keep a record of the acceptance, including the version accepted, the boxes ticked, the time and technical data such as the IP address and browser.
- Before acceptance: if our team creates the Organisation and prepares content before the owner accepts the invitation, that preparatory work is done under a service order signed by the Customer, which refers to these Terms and to the Data Processing Agreement.
- Correcting input: until confirmation, the details entered can be checked and corrected in the form; afterwards, in the account settings.
- Archiving: the version of the Terms in force on the date of acceptance stays available, with its date and version number; earlier versions are sent on request.
- Language: the Agreement is concluded in Romanian. The English version is a translation; if they differ, the Romanian version prevails.
4. The Service
Manifolio is a headless content management system (CMS) for agencies and their clients: the Customer models its content, publishes it through the API to its sites and apps, and sees how they are used. The features available may differ from Plan to Plan and are described on the site and in the documentation.
How the Service evolves. The Service evolves, and we decide how to develop it. We may add, change, replace, limit or retire features, components, integrations and Plans, including the APIs and their versions. If such a change significantly reduces an essential feature that the Customer uses on a paid Plan, we give reasonable notice, as a rule at least 30 days. Notice may be shorter or not possible when the change is required by law, by an authority, by a provider the feature depends on, or by a security risk. In those cases the Customer’s sole remedy is to end the Agreement before the change takes effect, with a pro-rata refund of fees prepaid for the remaining period.
5. Accounts and security
- The Customer keeps account details accurate and makes sure Users keep their passwords and authentication codes confidential.
- Accounts are created only for people aged 18 or over.
- We provide means of protecting accounts, such as two-factor authentication, and may make them mandatory for certain roles or actions. We recommend that the Organisation’s owners and admins use them.
- The Customer tells us without delay at security@manifolio.com if it suspects unauthorised access.
- The Organisation’s owner decides who has access and with which role. The Customer is responsible for the actions of the Users it invites and for everything done with their sign-in details until it reports a compromise to us.
- Our team may access an Organisation for support, maintenance, security, legal compliance or at the Customer’s request. Our team’s access and changes are recorded in the Organisation’s audit log.
6. Customer Content
Customer Content and Site Data remain the Customer’s. The Customer grants us a non-exclusive, royalty-free, worldwide licence for the term of the Agreement (plus the deletion periods in section 12) to host, store, copy, technically transform (for example resizing images, removing metadata or caching), transmit and display them, as needed to provide, secure and improve the Service. AI writing features process content only at a User’s request, as set out in section 10.
The Customer warrants that it holds all rights needed in the Customer Content and that collecting Site Data complies with the law, including the duty to inform visitors of its sites. The Customer is responsible for keeping its own copies of Customer Content, for example through the exports in section 12.
Aggregated data. We may collect and use technical and usage data about how the Service operates (for example request volumes, performance, errors and feature usage) and may create, from that data and from Site Data, aggregated or anonymised data to operate, secure, analyse, develop and improve the Service and for statistics. The resulting data does not identify the Customer, Users or data subjects and belongs to us. We do not use Customer Content for any purpose other than those set out in this section.
Illegal content. We have no general obligation to review or monitor content. When we receive a substantiated notice that hosted content is illegal or breaches the Acceptable Use Policy, we assess it and may restrict access to it, in line with Regulation (EU) 2022/2065 (the Digital Services Act). Notices go to hello@manifolio.com, as described in the Acceptable Use Policy. The single point of contact for Member State authorities, the European Commission and the European Board for Digital Services (article 11 of that Regulation) is authorities@manifolio.com; for recipients of the service (article 12), hello@manifolio.com. Both in Romanian or English.
Feedback. We may use suggestions and feedback about the Service freely, without any obligation to the Customer.
7. Personal data
For personal data in Customer Content and Site Data, the Customer is the controller (or, where applicable, a processor for its own clients) and we are a processor. That processing is governed by the Data Processing Agreement, which forms part of the Agreement.
The personal data we process for our own purposes (for example User accounts, billing, correspondence and security) is described in the Privacy Policy.
8. Acceptable use
The Customer and its Users comply with the Acceptable Use Policy, which we may update to keep pace with new risks and with the law. In short, the Service may not be used for illegal content, spam, malware, unlawful data collection, attacks on the Service or on others, or to get around usage limits.
9. Plans, prices and payment
- Plans and limits. Each Plan has the limits shown on the pricing page or agreed in writing, which may cover, for example, projects, members, API requests, tracked visitors, storage or AI usage. We may also set and adjust technical safeguards (for example rate or size limits) needed for the stability and security of the Service. Any reduction of the limits of a current paid Plan is announced at least 30 days in advance, except for technical safeguards, which may be adjusted reasonably at any time. If the Customer goes over a limit, we normally get in touch first; we may then suggest another Plan, slow down or temporarily restrict the usage above the limit or, if the excess affects the Service or other customers, restrict it immediately.
- Prices are those shown when ordering or agreed in writing. Paid Plans are paid in advance, for the chosen billing period.
- Payment is made against our invoice, by the due date on the invoice, or, once online payment is available, through Stripe. Stripe Payments Europe, Ltd. (Ireland) acts as an independent controller for the payment data it processes (for example card details, fraud prevention and know-your-customer obligations) and, where applicable, as a payment service provider authorised to carry out payment operations on our behalf, intermediating the financial relationship between Manifolio and the Customer. Stripe’s own terms and privacy policy also apply to that data; we do not receive or keep full card details.
- Taxes. Prices exclude VAT. At the date of these Terms, Manifolio is not registered for VAT, so invoices are issued without VAT. If we become registered for VAT, VAT is added as required by law, with prior notice; for customers in other EU member states with a valid VAT number the reverse charge then applies. Other taxes, duties and the Customer’s bank fees remain the Customer’s responsibility.
- Late payment. If an amount is not paid when due, we send a notice; if payment is not made within the period stated in the notice, of at least 7 days, we may suspend access to paid features or to the Service until it is. Statutory late-payment interest applies under Romanian Government Ordinance no. 13/2011, together with reasonable recovery costs.
- Price changes. We may change prices and the structure of the Plans. We announce any price increase affecting the Customer at least 30 days in advance, by email to the Organisation’s owners or in the admin. The new price applies from the next billing period starting after the notice period; the Customer may end the Agreement before then, and continuing to use the Service afterwards means accepting the new price.
- Refunds. Fees paid are not refundable, except where the law requires it or these Terms expressly provide for a pro-rata refund (sections 4, 14 and 21).
- The Free plan costs nothing, has the limits shown, comes with no availability or support commitment, and may be changed, limited or withdrawn with reasonable notice, as a rule 30 days, or shorter for the reasons in section 4.
10. Early-access features and artificial intelligence
Early-access features are provided as they are, for testing and feedback. They may change or stop at any time without notice, are not covered by any availability commitment and may contain errors. The Customer decides whether to rely on them in production, at its own risk.
The AI writing features (which may include writing, rewriting, translation, SEO suggestions or alt text) are optional and off for every Organisation until one of its owners turns them on in the admin, after seeing what data is sent, where it is processed and how long it is kept. Turning them on is recorded, and an owner can turn them off at any time. Our team cannot turn them on for the Customer, but may turn them off, limit or change them, including for security, to enforce the Acceptable Use Policy or when changing provider. They run only when a User asks, and the content concerned is sent, for that request, to the model provider in the sub-processor list (at the date of this version, Anthropic, PBC, in the United States). The output is generated automatically and may be inaccurate, incomplete or similar to other texts; the User reviews it before saving or publishing, and nothing is saved to content unless the User accepts it. We do not warrant the output of AI features. While the features are off, no content leaves Manifolio for an AI provider.
11. Availability and support
We use reasonable efforts to keep the Service available and performing well. The status page shows its current state. Planned work that may interrupt the Service is announced in advance where possible; urgent work may be done without notice. Unless a separate service level agreement (SLA) has been signed with the Customer, we do not guarantee any particular uptime or response time.
Support is provided through the channels we indicate (currently email at hello@manifolio.com), on working days, in Romanian or English. We answer as quickly as we can, without a guaranteed response time unless agreed otherwise in writing. The level of support may differ by Plan.
12. Data export and deletion
The Customer can export its Customer Content through the API and the export features in the admin. Owners can request an export of the Organisation in a structured electronic format, which may include the content, the content model, media files, form submissions, statistics, members and the audit log; the archive is normally ready within a short time and stays available for a limited period (currently 7 days). Each User can download their personal data and close their account, as set out in the Privacy Policy.
Deleting the Organisation. An owner can delete the Organisation from the admin. The Service stops at once for that Organisation, and the Organisation can be restored, on request, for 30 days. After that, its data is deleted for good, as set out in the Data Processing Agreement (section 10).
When the Agreement ends for a reason other than the Customer deleting the Organisation, the Customer has 30 days to export. After that, we delete Customer Content and Site Data from active systems within a reasonable time, as a rule within at most 30 days. Backups, where they exist, are deleted in line with their rotation cycle. We may keep what the law requires us to keep (for example accounting records) and what is needed to establish, exercise or defend legal claims.
The Customer’s copies. The Service does not guarantee that backups exist from which the Customer could restore its data. The Customer makes the exports it needs on a regular basis.
13. Suspension
We may suspend or restrict, in whole or in part, the access of an Organisation, a User, an API key or a feature if, in our reasonable judgement: (a) the Agreement or the Acceptable Use Policy is breached; (b) there is a risk to the security, integrity or availability of the Service or to other customers or third parties; (c) the use is abusive, fraudulent or unusual in a way that may cause harm; (d) payment is not made as set out in section 9; (e) the law, an authority or a court order requires it, or it is needed to avoid our liability towards third parties. We give the reason in advance where possible and permitted, or as soon as possible afterwards. We limit the suspension to what is necessary and lift it once the cause has been removed. Amounts owed remain payable during the suspension.
14. Term and termination
The Agreement runs for an indefinite term.
- The Customer may end it at any time, from the admin (deleting the Organisation) or by email; for paid Plans, termination takes effect at the end of the current billing period.
- We may end it with 30 days’ notice, without having to give reasons; in that case we refund pro rata the fees prepaid for the remaining period. For the Free plan and for inactive Organisations, the notice may be 15 days.
- Either party may terminate the Agreement with immediate effect, without formal notice of default and without going to court, by written notice, if the other party seriously breaches its obligations and does not remedy the breach within 15 days of being notified. We may terminate immediately, by the same procedure and without a remedy period, in the event of a serious breach of the Acceptable Use Policy, fraud, or where the law or an authority requires it.
15. Intellectual property
The Service, code, design, documentation, Manifolio trade marks and their improvements belong to us or our licensors. For the term of the Agreement, the Customer has a non-exclusive, non-transferable, non-sublicensable right to use the Service for its own business and for its clients, in line with its Plan. The Customer does not copy, modify, decompile or attempt to extract the source code of the Service, except as expressly allowed by Romanian Law no. 8/1996 on copyright, does not resell it as its own service without a written agreement, and does not use it to build a competing product. Libraries published under an open-source licence are used under that licence.
16. Confidentiality
Each party keeps confidential the non-public information it receives from the other in connection with the Agreement and uses it only to perform the Agreement. It may disclose it to employees, contractors, professional advisers, affiliates and subcontractors who need it and are bound by equivalent confidentiality obligations. This does not cover information that is public, already lawfully known or independently developed, nor disclosures required by law or by an authority, in which case the party informs the other if the law allows. The obligation lasts for the term of the Agreement and 3 years after it ends.
17. Warranties
We provide the Service with the diligence of a professional. Otherwise, to the fullest extent permitted by law, the Service is provided “as is” and “as available”, without other express or implied warranties, including as to quality, fitness for a particular purpose, compatibility with the Customer’s systems, results obtained, accuracy of automatically generated output, or uninterrupted, error-free operation. We are not responsible for third-party services, sites, integrations or networks that the Customer uses together with the Service.
18. Limitation of liability
To the extent permitted by law:
- neither party is liable for indirect, special or unforeseeable damage, such as lost profits, lost revenue, savings or opportunities, loss of customers or reputation, or the cost of substitute services;
- we are not liable for loss or corruption of data to the extent it could have been restored from the copies or exports the Customer should have kept, nor for damage caused by Early-access features, the Free plan, AI output used without review, or use of the Service contrary to the Agreement;
- our total liability for all claims relating to the Agreement is limited to the fees actually paid by the Customer for the Service in the 12 months before the event giving rise to the liability.
Time limit for claims. The Customer notifies us in writing of any claim relating to the Agreement within 90 days of the date on which it knew or should have known of the facts giving rise to it; a claim not notified within that period can no longer be pursued. The parties agree, under article 2515(3) of the Romanian Civil Code, that the right of action for claims under the Agreement is time-barred one year from that same date.
The limits and time limits in this section do not apply to damage caused intentionally or through gross negligence, to harm to a person’s physical integrity or health, to the Customer’s payment obligations, or to any other liability that cannot be limited or excluded by law, in line with article 1355 of the Romanian Civil Code.
19. Indemnity
The Customer indemnifies us against third-party claims (including fines, amounts paid under a judgment or settlement, and reasonable legal costs) arising from Customer Content, from its sites and apps, from a breach of the Agreement or the Acceptable Use Policy, or from the lack of a legal basis for Site Data collected at its request.
We defend the Customer against third-party claims that the Service, used in line with the Agreement, infringes their intellectual property rights, and we pay the amounts finally awarded against it, within the limits in section 18. In that case we may modify or replace the affected part of the Service or, if that is not reasonably possible, end the Agreement with a pro-rata refund of prepaid fees.
The indemnified party promptly reports the claim, lets the other party control the defence and cooperates reasonably.
20. Force majeure and fortuitous events
Neither party is liable for failing to perform or for delay caused by force majeure or a fortuitous event within the meaning of article 1351 of the Romanian Civil Code, or by other circumstances beyond its reasonable control, such as outages of networks, power or infrastructure and service providers, cyberattacks that could not be prevented by reasonable measures, acts of authorities, armed conflict, epidemics or natural disasters. The affected party informs the other without delay and takes reasonable steps to limit the effects. Payment obligations already due are not excused. If the circumstance lasts more than 30 days, either party may end the Agreement by notice.
21. Changes to these Terms
We may change these Terms and the documents they refer to. Material changes are announced by email to Organisation owners or in the admin, and on this page, at least 30 days before they take effect; changes required by law, by an authority or for security, and changes that do not disadvantage the Customer (for example clarifications, corrections or new features), may take effect sooner. A Customer that does not agree may end the Agreement before the effective date, without penalty and with a pro-rata refund of prepaid fees; this is its exclusive remedy. The new version is accepted expressly, in the admin or the app, at the first sign-in after it takes effect. Until then, the User can only download their data, close their account or sign out.
22. Business customers only
The Service is intended solely for professionals acting for their business or profession and is not offered to consumers. By accepting these Terms, the Customer confirms that it acts as a professional. If the law nevertheless treats the Customer as a consumer, mandatory consumer protection rules apply, and nothing in these Terms excludes them.
ANPC, ADR and ODR information. Because the Service is offered only to professionals (B2B), the procedures below, designed for consumers, do not normally apply between us and the Customer. We list them for transparency: the Romanian National Authority for Consumer Protection (anpc.ro); alternative dispute resolution (ADR, “SAL” in Romanian), through the ADR Directorate of ANPC (anpc.ro/ce-este-sal); online dispute resolution (ODR, “SOL”): the European ODR platform was closed by the European Commission on 20 July 2025 under Regulation (EU) 2024/3228, and consumer disputes can be brought before the ADR bodies above.
23. Final provisions
- Electronic communications: the parties agree to communicate electronically. Send notices to us at hello@manifolio.com; we send them to the email address of the Organisation’s owner or through notifications in the admin. A notice sent by email is deemed received on the working day after it is sent, unless shown otherwise. Authorities write to authorities@manifolio.com.
- Assignment: the Customer may not assign the Agreement or its rights under it without our written consent. We may assign it, in whole or in part, to an affiliate or to a company that takes over the Manifolio business by merger, division, transfer of assets or business, or otherwise; the Customer consents to this in advance, within the meaning of article 1317 of the Romanian Civil Code, and the assignment takes effect towards it once notified.
- Subcontracting: we may have obligations performed by our subcontractors and providers, including those on the public list, which we may update as set out in the Data Processing Agreement (section 6). We are responsible to the Customer for them on the same terms and within the same limits as for our own acts.
- References: we may name the Customer and show its logo as a Manifolio customer, in customer lists, on the site and in presentation materials, without disclosing confidential information. The Customer may object at any time by email; we then remove the reference, within a reasonable time, from the materials we control.
- Entire agreement: the Agreement is the parties’ entire understanding about the Service and supersedes any earlier discussions or proposals. The Customer’s general terms (for example those in its purchase orders) do not apply, even if we have not expressly rejected them. A written agreement signed by both parties prevails over these Terms on the matters it covers.
- No waiver: a party’s failure or delay in exercising a right is not a waiver of it.
- Severability: if a provision is void or unenforceable, the rest remain valid, and that provision applies to the fullest extent permitted by law; the parties replace it with a valid one as close in effect as possible.
- Survival: provisions that by their nature continue after termination (for example amounts owed, export and deletion, aggregated data, confidentiality, intellectual property, warranties, liability, indemnities, governing law and disputes) remain in force.
- Language: the Terms are drafted in Romanian; translations are for information only, and if they differ, the Romanian version prevails.
24. Clauses expressly accepted
By ticking the separate box dedicated to these clauses, the Customer confirms that it has read and understood them and accepts them expressly, within the meaning of article 1203 of the Romanian Civil Code:
- Limitation of liability and warranties: the exclusion of indirect damage, lost profits and loss of data that could have been restored from the Customer’s copies, the cap on our liability at the fees paid in the last 12 months, the 90-day period for notifying claims, on pain of forfeiture, and the one-year limitation period (section 18); the Service provided “as is” (section 17), early-access and AI features without warranties (section 10) and no guaranteed backups (section 12); release from liability for force majeure, fortuitous events and other circumstances beyond our reasonable control (section 20).
- Suspension: our right to suspend or restrict access in the cases in section 13, including for late payment and for exceeding usage limits (section 9), and limited access until a new version of the Terms is accepted (section 21).
- Unilateral termination: our right to end the Agreement with notice, without giving reasons, and to terminate it with immediate effect, including at once in the cases provided (section 14); our right to change, limit or retire features, components and Plans, including the Free plan, with a pro-rata refund as the Customer’s sole remedy (sections 4 and 9).
- Unilateral changes to the Terms, prices, limits and sub-processors: with notice of, as a rule, 30 days, shorter in the cases provided, and with ending the Agreement as the Customer’s exclusive remedy (sections 21, 9 and 23; Data Processing Agreement, section 6).
- Indemnity owed by the Customer for third-party claims relating to Customer Content, Site Data and breach of the Agreement (section 19).
- No refunds of fees paid, except where expressly provided (section 9).
- Assignment and subcontracting: the Customer may not assign the Agreement without our written consent, while we may assign it to an affiliate or to a successor of the business, with the Customer’s consent given in advance, and may subcontract its performance (section 23).
- Governing law and jurisdiction: Romanian law and the courts for our registered office, in Dolj County (section 25).
For transparency, we also point out our right to use aggregated or anonymised data (section 6) and to name the Customer as a reference, with the right to object (section 23).
These Terms contain no waiver of set-off, no tacit renewal of a fixed term, no arbitration clause and no exclusivity.
25. Governing law and disputes
The Agreement is governed by Romanian law. The parties first try to settle any dispute amicably within 30 days of it being notified. Failing that, the dispute is decided by the competent Romanian courts for Manifolio’s registered office, in Dolj County (depending on the nature and value of the claim, the Filiași Court of First Instance or the Dolj Tribunal in Craiova), except where the law mandatorily assigns another court. Either party may at any time ask the court competent under the law for interim or protective measures.
